1. Acceptance
By using this website, you agree to these Terms and Conditions. When you engage Onando for a project, the proposal, statement of work or service agreement accepted by both parties will also apply. If a project agreement conflicts with these general terms, the project agreement takes priority for that engagement.
2. Website use
You may use this website for lawful informational and business-enquiry purposes. You must not attempt unauthorised access, introduce malicious code, interfere with operation, scrape the site unreasonably or use its content in a misleading or unlawful way.
3. Proposals and scope
Project services, deliverables, assumptions, timeframes and fees will be set out in a written proposal or agreement. Estimates are based on information available at the time. Requests outside the agreed scope may require a revised schedule and additional fees. Client delays in providing feedback, approvals, content, credentials or access may affect delivery dates.
4. Client responsibilities
Clients are responsible for providing timely, accurate and lawfully usable content, data, brand assets, approvals and system access. The client confirms it has the rights and permissions needed for materials supplied to Onando and remains responsible for the legality and accuracy of its business content and data.
5. Fees and payment
Fees, taxes, deposits and payment milestones will be stated in the relevant proposal or invoice. Unless otherwise agreed, work may pause where a payment is overdue. Third-party costs—including domains, hosting, software licences, messaging, cloud usage, devices and paid services—are separate unless expressly included.
6. Changes, cancellation and refunds
Changes are assessed against the approved scope. Either party may end a project according to the applicable agreement. On cancellation, the client must pay for completed work, committed third-party costs and work in progress up to the termination date. Deposits and payments for work already performed are generally non-refundable unless the project agreement states otherwise.
7. Intellectual property
Each party retains ownership of intellectual property it owned before the project. Subject to full payment, the client receives the rights to final custom deliverables described in the project agreement. Onando retains ownership of pre-existing tools, reusable code, know-how, frameworks and general components, granting the client an appropriate licence where they form part of a deliverable. Third-party and open-source materials remain subject to their own licences.
8. Testing, acceptance and support
Onando will use reasonable care to test agreed functionality. The client is responsible for reviewing deliverables and reporting material issues within the acceptance period stated in the agreement. Support, maintenance, hosting, security monitoring and future compatibility are included only where expressly agreed. IoT performance may depend on connectivity, physical conditions, power, sensor tolerances and third-party platforms.
9. Warranties and liability
Services are provided with reasonable skill and care. Except where law does not permit exclusion, the website and general information are provided “as is” without implied warranties. Onando is not liable for indirect, incidental, special or consequential loss, loss of profit, data or opportunity, or failures caused by client systems, third-party services, connectivity, misuse or events beyond reasonable control. Any aggregate liability relating to a project will be limited as stated in the applicable agreement.
10. Confidentiality and data
Each party will take reasonable steps to protect confidential information received for a project and use it only for the engagement. Where Onando processes personal data for a client, the parties may agree additional data-processing terms. Our website data practices are described in the Privacy Policy.
11. External services and links
We may recommend or integrate third-party platforms. Those services are governed by their providers’ terms, availability, pricing and privacy practices. Onando is not responsible for changes or failures in third-party services outside our reasonable control.
12. Governing law and changes
These terms are governed by the laws of Sri Lanka, subject to any mandatory rights that apply in your location. We may update website terms from time to time; revisions take effect when published and do not retrospectively change an existing signed agreement.
